Description
Attorney - Private Funds, NY, NY. Oversee legal svcs for private equity funds & private sponsors in private equity fundraises & ongoing asset mgmt matters. Reqs Juris Doctor or Master of Laws deg, or foreign equiv. Must have 5 yrs of exp as an attorney providing legal svcs to private equity sponsors in connection w/ private equity offerings & ongoing fund compliance matters, incl buyout funds, co-investment arrangements, separately managed accounts & alternative
investment vehicles. Exp must incl: drafting formation docs of private investments funds & coord'g formation through relevant state filings; first round analysis of client queries & draft initial responses regarding asset mgmt obligations under fund agreements & regulatory fund compliance matters, incl proposing improvements & enhancements thereto, incl in connection w/ updates to securities laws; exp in fund entity formation, coord'g signature pages, compiling final docs, drafting investor closing notification correspondence & coord'g relevant state filings for fund closings; performing subscription docs review & compilation & editing deficiency lists for investors, incl oversight of supporting tax & AML/KYC docs for individual & entity investors in private equity funds; reviewing & prep'g initial responses to investor requests & comment memoranda, incl requests relating to investor internal policies & analysis of fund docs relative to mkt practices; preparing initial drafts of organizational, subscription, offering & governing docs & structure charts for fundraises & bespoke transactions, incl advisory agreements & investor side letters in connection w/ private equity fund offerings & single deal transactions; & converting US fund offering docs & subscription docs into foreign jurisdiction equivalents, incl Cayman Islands & Luxembourg, & incorporate specialist feedback, incl tax & ERISA updates. Must be licensed to practice law in NY. $415,000 - $425,000.
